Terms and Conditions

Welcome to Genius Checkout, a platform provided by Genius Digital Commerce Limited (“Genius
Checkout”, “we”, “us”, or “our”), a company registered in Jamaica. By accessing or using our platform,
you (“Merchant”, “you”, or “your”) agree to be bound by the following Terms and Conditions. If you do
not agree with any part of these terms, you must not use the platform.
1. Platform Description Genius Checkout is a software-as-a-service (SaaS) platform that allows
merchants to integrate multiple third-party payment gateways into their websites or applications. The
platform provides plugins and APIs to connect with payment providers, but Genius Checkout itself is not
a payment gateway and does not process or store any payment card data.
2. Merchant Responsibilities – You acknowledge and agree that you are solely responsible for
maintaining your own payment gateway accounts and for complying with all applicable terms and
conditions of those third-party providers. – You are solely liable for any transactions processed through
your payment gateways, including disputes, chargebacks, fraud, and customer service. – You agree to
use the platform in compliance with all applicable laws, including data protection, anti-money
laundering, and consumer protection laws.
3. No Payment Processing by Genius Checkout – Genius Checkout does not act as a payment
processor, acquirer, or financial institution. – All customer payments are processed directly through your
selected third-party payment gateway using your own merchant credentials. – We do not have access to
or store customers’ full payment card details.
4. Subscription and Fees – Merchants must pay the applicable subscription fees to access and use
Genius Checkout. – All fees are non-refundable unless otherwise stated. – We reserve the right to change
our pricing and billing terms at any time with notice.
5. Plugin and Integration Support – We provide plugins for popular platforms such as WordPress/
WooCommerce, WHMCS, and Go High Level. – You are responsible for the correct implementation,
testing, and maintenance of integrations. – Genius Checkout disclaims any liability for losses arising
from incorrect or incomplete implementation.
6. Intellectual Property All software, documentation, and branding associated with Genius Checkout
remain the intellectual property of Genius Digital Commerce Limited. You may not reproduce, resell, or
reverse-engineer the platform without our prior written consent.
7. Limitation of Liability To the maximum extent permitted by law: – Genius Checkout shall not be
liable for any direct, indirect, incidental, consequential, or punitive damages resulting from your use of
the platform. – Our total liability shall not exceed the amount you paid to us in the three (3) months
prior to the claim.
8. Indemnity You agree to indemnify, defend, and hold harmless Genius Digital Commerce Limited and
its officers, employees, and agents from any claims, liabilities, damages, and expenses (including legal
fees) arising out of: – Your use of the platform; – Your breach of these Terms; – Any disputes or issues
with your customers; – Your violation of any law or the rights of a third party.
9. Termination We reserve the right to suspend or terminate your access to the platform at any time,
with or without cause. Upon termination, you must cease all use of the platform and delete any
associated software or data.
10. Governing Law and Jurisdiction These Terms are governed by the laws of Jamaica. Any disputes
shall be subject to the exclusive jurisdiction of the courts of Jamaica.
